OpenTable conditions of entry:

The contest on the OpenTable website are organised by OpenTable International Limited ("OpenTable"). Registered office: 5 New Street Square, London, EC4A 3TW, UK. Company number: 3914016.

These rules are the conditions of entry ("Rules") and apply to contest, unless otherwise expressly stated. By entering the contest, you agree to be bound by these Rules applicable to the contest, as applicable. If you do not agree with any of the Rules then you should not enter the contest.

The contest will begin on 27th August, 2014 at 00:00 (GMT) and will end on 14th September, 2014 at 23:59 (GMT) ("Entry Period"). Odds of winning depend upon the number of eligible entries received.

1. Rules of Entry for contest

1.1 You are eligible to enter the contest if you are a legal resident of United Kingdom and if you are at least 18 years of age and have an OpenTable account. Employees of OpenTable and its affiliates, and members of their immediate families (to include, parent, sibling, spouse and child) are not eligible to win the prize. Any such entries will be invalid.

1.2 By entering the contest, you hereby warrant that all the information submitted by you is true, current and complete. OpenTable reserves the right to ask for proof of age and evidence to verify the identity of an entrant at any time, and may carry out checks of any details provided.

1.3 OpenTable's computer shall be the official timekeeper for all matters related to the contest. The contest will take place on the 29th September 2014 from submissions received during the Entry Period.

1.4 No purchase necessary to enter. Entry into the Contest is automatically done after you make a booking on the OpenTable UK app and dine within the entry period. Desktop bookings will not be eligible for entry. Entry constitutes permission (except where prohibited by law) to use entrant's name, city, state, likeness, image, and/or voice for purposes of advertising, promotion, and publicity in any and all media now or hereafter known, throughout the world in perpetuity, without additional compensation, notification, permission, or approval.

1.5 All Entries become the property of OpenTable and will not be acknowledged or returned. You must have the permission of any person that you identify or otherwise refer to in your Entry. By entering the contest, entrants grant OpenTable the non-exclusive, royalty-free, and irrevocable rights to use, reproduce, copy, publish, display, distribute, perform, translate, adapt, modify, and otherwise exploit the Entry and to incorporate the Entry in other works in any and all markets and media worldwide in perpetuity without additional compensation, notification, permission or approval. Entrants warrant that they have the sole and exclusive right to grant such rights to OpenTable and that OpenTable's reproduction, publishing, displaying, and/or other use of the Entry will not infringe on any rights of third parties, including, without limitation, copyright, trademark, privacy, or publicity, or create claims for defamation, false light, idea misappropriation, intentional or negligent infliction of emotional distress, or breach of contract. If any Entry contains material that is violent, pornographic, obscene, illegal, inappropriate, or racially or morally offensive or if any Entry does not comply with these Rules or meet OpenTable's standards for any reason, as determined by OpenTable in its sole discretion, such Entry may be rejected as ineligible for consideration and/or deleted. Entries must comply with all applicable laws, rules, and regulations. OpenTable shall have no obligation to copy, publish, display, or otherwise exploit the Entry.

1.6. In the event of any fault, mistake, misunderstanding or dispute concerning the validity of the information supplied by the entrant, or the operation of any part of the contest, the decision of OpenTable shall be final and no correspondence will be entered into.

2. Prize Notification

2.1 The winner may be required to participate in publicity. OpenTable will give away pre-paid Mastercard (pre-loaded woth £5,200) to one winner. Prize value is based on a total meal value of £100 per week for 52 weeks.

2.2 One winner will be chosen by OpenTable as described above from all eligible and correct Entries.

2.3 Prize winners will be contacted as soon as practicable on the email address associated with their OpenTable UK account. Failure to provide the correct email address may result in forfeiture of the prize.

2.4 If any Prize is unclaimed within a reasonable time after notification from OpenTable, as determined by OpenTable in its sole discretion, it will be forfeited, and time permitting, an alternate winner may be selected from the remaining eligible Entries at OpenTable's sole discretion.

2.5 No cash equivalent (where applicable) or alternative prize will be given and no prize is non-transferable and non-exchangeable.

2.6 All details of any prize will be determined by OpenTable in its sole discretion. OpenTable reserves the right to substitute a similar prize of comparable or greater value at its sole discretion. All taxes and other expenses, costs, or fees, including transportation, and accommodations associated with the acceptance and/or use of any prize are the sole responsibility of each winner.

2.7 OpenTable shall have no responsibility or liability for cancellations, delays, or any other change by any company or person providing any element of prize due to reasons beyond OpenTable's control, and is not responsible or liable for any expenses incurred as a consequence thereof.

3. Data Protection

3.1 Any information and data ("Personal Data") which is provided by entrants when they enter will be used solely in accordance with the principles set out in current UK data protection legislation and will not be disclosed to a third party without the individual's prior consent. Data relating to entrants will be retained by OpenTable for a reasonable period after the contest closes to assist in operating the contest in a consistent manner and to deal with any queries on the contest.

4. Liability

4.1 OpenTable does not accept responsibility for any fault, malfunction, damage, loss or disappointment suffered by any entrant howsoever arising from participating in the contest or of accepting any prize whether due to any error, omission or other cause by OpenTable, its employees, agents or others to the fullest extent permitted by law.

4.2 By entering the contest, each entrant agrees for entrant and for entrant's heirs, executors, and administrators (a) to release and hold harmless OpenTable and its affiliates and their respective officers, directors, and employees (collectively, "Released Parties") from any liability, illness, injury, death, loss, litigation, or damage that may occur, directly or indirectly, whether caused by negligence or not, from such entrant's participation in the contest and/or his/her acceptance, possession, use, or misuse of any prize or any portion thereof; (b) to indemnify Released Parties from any and all liability resulting or arising from the contest and to hereby acknowledge that Released Parties have neither made nor are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to prize; (c) if selected as a winner, to the posting of such entrant's name on the OpenTable website and the use by Released Parties of such entrants name, voice, image, and/or likeness for publicity, promotional, and advertising purposes in any and all media now or hereafter known, throughout the world in perpetuity, without additional compensation, notification, permission, or approval, and, upon request, to the giving of consent, in writing, to such use; and (d) to be bound by these Rules and to waive any right to claim any ambiguity or error therein or in the contest itself, and to be bound by all decisions of OpenTable, which are binding and final. Failure to comply with these conditions may result in disqualification from the contest at OpenTable's sole discretion.

5. Additional Terms

5.1 OpenTable reserves the right to permanently disqualify from any contest or any other promotion any person they believe has intentionally violated these Rules. Any attempt to deliberately damage the contest or the operation thereof is unlawful and subject to legal action by OpenTable, who may seek damages to the fullest extent permitted by law.

5.2 The failure of OpenTable to comply with any provision of these Rules due to an act of God, hurricane, war, fire, riot, earthquake, terrorism, act of public enemies, actions of governmental authorities outside of the control of OpenTable (excepting compliance with applicable codes and regulations), or other "force majeure" event will not be considered a breach of these Rules.

5.3 Released Parties are not responsible for telecommunications, network, electronic, technical, or computer failures of any kind; for inaccurate transcription of entry information; for errors in any promotional or marketing materials or in these Rules; for any human or electronic error; or for entries that are stolen, misdirected, garbled, delayed, lost, late, damaged, or returned.

5.4 OpenTable reserves the right to cancel, modify, or suspend the contest or any element thereof (including, without limitation, these Rules) without notice in any manner and for any reason (including, without limitation, in the event of any unanticipated occurrence that is not fully addressed in these Rules). In the event of cancellation, modification, or suspension, OpenTable reserves the right to select winners in a random drawing from among all eligible, non-suspect entries received prior to the time of the event warranting such cancellation, modification, or suspension. Notice of such cancellation, modification, or suspension will be posted at the website. OpenTable may prohibit any entrant or potential entrant from participating in the contest, if such entrant or potential entrant shows a disregard for these Rules; acts with an intent to annoy, abuse, threaten, or harass any other entrant, OpenTable, or OpenTable's agents or representatives; or behaves in any other disruptive manner (as determined by OpenTable in their sole discretion). OpenTable reserves the right to modify these rules for clarification purposes without materially affecting the terms and conditions of the contest.

6. Governing Law

6.1 The contest shall be governed by and construed in accordance with English law and you hereby submit to the exclusive jurisdiction of the courts of London, England.

6.2 THE REMEDY FOR ANY CLAIM SHALL BE LIMITED TO ACTUAL DAMAGES, AND IN NO EVENT SHALL ANY PARTY BE ENTITLED TO RECOVER PUNITIVE, EXEMPLARY, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, INCLUDING ATTORNEY'S FEES OR OTHER SUCH RELATED COSTS OF BRINGING A CLAIM, OR TO RESCIND THIS AGREEMENT OR SEEK INJUNCTIVE OR ANY OTHER EQUITABLE RELIEF.
